Terms of service.

These terms are an agreement between you ("you" or "your tenant") and Kathail ("we", "us") and govern your use of the CityWater platform at app.citywater.ca and the citywater.ca website. By creating an account or using the service, you agree to them.
§ 01 — The service
What CityWater is.
CityWater is software for managing water, sewer, and storm utility assets, work orders, inspections, and service requests. We provide it on a software-as-a-service basis to municipal utilities and authorized users acting on their behalf.
§ 02 — Beta
The service is currently in beta.
- — Features may change, regress, or be removed without notice during this period.
- — We do not commit to an uptime SLA. We operate the service in good faith and notify tenant administrators of significant incidents.
- — We may end the beta at any time. We will give tenants reasonable notice and an export of their data before doing so.
§ 03 — Your account
Yours to keep secure.
Your employer (the "tenant") is responsible for who has accounts within their tenant and what roles those users hold. As a user, you are responsible for keeping your password confidential and for activity under your account. Notify us if you believe an account has been compromised.
§ 04 — Acceptable use
What you can't do.
- — Use the service for unlawful purposes.
- — Upload content you do not have the right to upload.
- — Attempt to access another tenant's data.
- — Probe, scan, or test the service for vulnerabilities without prior written permission. Responsible disclosure is welcomed — [email protected].
- — Reverse-engineer, resell, or sublicense the service.
We may suspend access for material breaches.
§ 05 — Your data
Your tenant owns its data.
Your tenant retains all rights to the operational data your users create in the service — assets, work orders, inspections, photos, geometries. We act as a processor for that data and use it only to operate the service for you. We do not use tenant data to train machine-learning models.
You can export your tenant's data at any time. After cancellation, we provide an export window before permanent deletion. See the Privacy page for retention specifics.
§ 06 — Availability
No SLA during beta.
During beta, the service is provided "as is and as available" without an SLA. We aim for high availability but do not commit to a number. We notify administrators of planned maintenance where possible.
§ 07 — Fees
Free during beta.
The service is free during beta. We will notify tenants in writing at least 30 days before any commercial pricing takes effect, and no tenant will be charged without first agreeing to the new terms.
§ 08 — Termination
Either side, with notice.
You may cancel your tenant at any time by writing to [email protected]. We may suspend or terminate access for material breach of these terms, with notice where reasonable. After termination, your data is retained per the Privacy policy and then permanently deleted.
§ 09 — Disclaimer
As is. Validate before relying.
Except as required by law, the service is provided as is and as available, without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose, including regulatory compliance reporting. You are responsible for validating outputs before relying on them for compliance, dispatch, or safety-critical decisions.
§ 10 — Limitation of liability
Capped at the greater of fees paid or CAD $100.
To the fullest extent permitted by law, Kathail is not liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of the service. Our aggregate liability for any claim is limited to the fees paid in the twelve months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater. During the beta period, when no fees are paid, the cap is one hundred Canadian dollars.
§ 11 — Governing law
Ontario, Canada.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located in Ontario.
§ 12 — Changes
We'll tell you before they take effect.
If we materially change these terms, we will notify tenant administrators by email and update the "last updated" date above. Continued use after the effective date constitutes acceptance. If you do not agree, you may terminate your account.
